Wholesale Terms

Effective date: October 8, 2026 | Version: 1.0

1. Scope and Approval

These Wholesale Terms apply to approved business purchases from DrDripp, LLC ("DrDripp") by the business identified in the application or accepted order ("Buyer"). Buyer represents that its signatory has authority to bind it.

A signed agreement controls an expressly conflicting term; these Wholesale Terms otherwise control wholesale commercial matters over the retail terms. A quotation is not an accepted order unless confirmed in writing by DrDripp.

Approval requires accurate business identity, ownership and authorized contacts, intended channels and locations, resale documentation where applicable, and required licenses or permits. Buyer must keep this information current.

Account approval does not authorize sale of a SKU in every jurisdiction or channel. Buyer must obtain written approval for new selling locations, restricted channels or subdistribution where required by the account approval.

2. Lawful Resale and Age Controls

Buyer must sell only approved products through authorized lawful channels, maintain required permits, apply all required age checks, and not supply anyone under 21 or a prohibited destination.

Buyer must preserve labels, warnings and lot identification and may not obscure them, alter the product, repackage it or make unauthorized claims.

DrDripp retains its own legal obligations; Buyer’s representations do not establish federal or state product clearance.

3. Orders, Prices and Payment

The accepted quote or order states the products, quantities, case packs, prices, taxes, payment method, ship-from location, handling estimate and freight terms.

Payment must clear before shipment unless a signed agreement expressly extends credit. No credit terms are offered by default.

Deposits, cancellation charges and freight estimates or adjustments must be disclosed and accepted in writing; they are not created by these Terms alone.

Buyer’s purchase-order boilerplate does not modify the agreement unless DrDripp expressly accepts the specific change in writing.

Future price changes apply to future orders. If a material error affects an unaccepted order, DrDripp may correct or decline it, refund amounts due, and obtain Buyer’s consent before charging a higher price or supplying a materially different product.

4. Freight, Title and Risk

Each accepted quote must state who selects the carrier, pays freight, arranges insurance and handles a transit claim.

If the accepted quote expressly provides FOB shipping point, risk of transit loss transfers to Buyer when conforming, properly packaged goods are delivered to the carrier at the stated ship-from location, subject to applicable law and any separate written undertaking.

Title transfers at that handoff after payment has cleared, unless the accepted quote expressly states otherwise.

For an agreed FOB shipping point shipment, Buyer bears the allocated transit risk and should obtain insurance appropriate to it.

If DrDripp arranges freight for Buyer, that arrangement does not change an expressly accepted risk allocation unless the quote says it does.

DrDripp will reasonably cooperate with a carrier claim and supply available shipment records.

FOB shipping point does not excuse nonconforming goods, inadequate packaging attributable to DrDripp, misconduct or another duty that cannot lawfully be shifted.

If the quote does not expressly allocate title and risk, the parties must confirm those terms before shipment; no retail consumer risk allocation is inferred.

Additional charges for liftgate service, limited access, appointments, redelivery or address errors require an accepted allocation and supporting documentation where charged to Buyer.

5. Inspection and Conformity Remedies

Buyer should inspect deliveries, note visible carrier damage on the delivery record, retain safe packaging and document affected quantities and lots.

Notify Info@DrDripp.com promptly. Seven calendar days after delivery is requested for visible shortage, damage or incorrect items.

Report a hidden defect promptly after discovery. These reporting requests do not automatically forfeit a remedy required by law.

DrDripp will review a supported conformity claim and provide an appropriate replacement, credit, refund or other legally required remedy.

No sale of goods remedy is made exclusively effective where applicable law preserves another remedy or the stated remedy fails its essential purpose.

Voluntary returns of conforming wholesale inventory require written authorization; no automatic buyback, sell-through guarantee or opened-product return is offered.

Authorized defect returns and transit claims are allocated under the accepted agreement and applicable law without double recovery.

6. Storage, Traceability and Recalls

Buyer must follow approved storage and handling instructions, protect packaging integrity, preserve lot information and maintain reasonable records identifying inventory and downstream commercial recipients.

Do not sell expired, compromised, recalled or held inventory.

Promptly report a suspected safety issue, defect or material consumer complaint to Info@DrDripp.com.

On a recall or hold notice, Buyer must promptly stop affected sales, segregate inventory, preserve relevant records and cooperate with tracing, notifications and lawful disposition.

The parties will coordinate required actions; costs are allocated according to applicable law, causation and any accepted recall agreement.

No provision delays a legally required report or medical response.

7. Brand Assets and Confidentiality

Buyer may use current DrDripp-approved assets for authorized resale while its approval remains active.

It may not imply FDA approval, target minors, make unauthorized health or comparative claims, remove warnings or suggest an endorsement or exclusive appointment not granted in writing.

Permission ends for future use when approval ends, subject to lawful rights and any agreed treatment of remaining inventory.

No minimum advertised price policy is established by these Terms.

Each party will protect the other’s nonpublic pricing, business information and specifications disclosed as confidential or reasonably understood to be confidential, and use them only for the approved relationship.

Exceptions include information lawfully public, independently developed or lawfully obtained without a duty of confidence.

Disclosure is permitted to advisers or personnel who need it under appropriate duties, or when legally required.

These duties do not restrict lawful safety reporting, consumer complaints or government cooperation.

8. Responsibility for Resale Conduct

Buyer will indemnify DrDripp against third-party claims, damages and reasonable defense costs to the extent caused by Buyer’s unlawful resale, unauthorized claims, material alteration or mishandling, infringement in Buyer-created advertising, or intentional or negligent violation of these Terms.

Buyer is not responsible under this provision for the portion caused by DrDripp’s product defect, breach, negligence or other misconduct.

DrDripp must promptly notify Buyer, allow reasonable control or participation in the defense, cooperate, and not settle a claim imposing nonmonetary duties or an admission on Buyer without its consent, which must not be unreasonably withheld.

9. Commercial Loss Limits and Preserved Liabilities

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR LOST PROFITS OR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL PURELY COMMERCIAL LOSSES UNDER THE WHOLESALE RELATIONSHIP.

DRDRIPP’S LIABILITY FOR A CLAIM LIMITED TO DIRECT COMMERCIAL LOSS WILL NOT EXCEED THE AMOUNT PAID FOR THE GOODS IN THE ORDER DIRECTLY GIVING RISE TO THE CLAIM.

These limitations do not apply to bodily injury or death, fraud, willful misconduct, gross negligence, indemnity obligations, unlawful data processing, amounts or refunds already owed, or liabilities that cannot lawfully be limited.

They do not validate unlawful products, eliminate mandatory product-safety obligations or restrict a remedy where applicable law disallows the limitation.

Product descriptions and written conformity promises remain subject to applicable law.

10. Suspension, Disputes and Updates

DrDripp may suspend future supply for eligibility or license failures, unlawful resale, nonpayment, a safety hold or material breach.

It will address accepted orders and refunds as required by the agreement and law.

Suspension does not automatically forfeit prepaid funds or create a cancellation fee. Cure opportunities and existing-order treatment may be specified in a signed agreement.

Florida law governs subject to mandatory law.

Disputes will be heard in the state courts in Volusia County Florida or the federal court serving that county, subject to jurisdiction and any mandatory forum right.

Updated posted terms apply only to future orders accepted under the updated version, unless the parties agree otherwise.
